These Terms of Service ("Terms") govern your access to and use of the website renovationpro.live (the "Site") and any services, features, or content offered by Renovation Pro Inc. ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms are a legally binding agreement between you and Renovation Pro Inc., operating in the Province of Ontario, Canada. We comply with applicable Canadian laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and Ontario's Consumer Protection Act, 2002.

1. Acceptance of Terms

By using the Site, you represent that you are at least the age of majority in your province of residence (18 or 19, as applicable) and have the legal capacity to enter into these Terms. If you are using the Site on behalf of an entity, you represent that you have the authority to bind that entity. We reserve the right to update these Terms at any time; changes will be posted here with an updated "Last Updated" date. Your continued use after changes constitutes acceptance.

2. Services Description

Renovation Pro Inc. provides a platform connecting homeowners and property managers (collectively, "Clients") with verified renovation contractors and service providers ("Contractors") in Canada. The Site facilitates project requests, quotes, communication, and booking. We are not a party to any agreement between Clients and Contractors; our role is limited to providing the platform. All services are provided "as is" and subject to availability.

3. User Accounts

3.1 Registration

To access certain features, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at support@renovationpro.live of any unauthorized use.

3.2 Account Termination

We may suspend or terminate your account if you violate these Terms or applicable laws. Upon termination, your right to use the Site ceases immediately. You may request deletion of your account and personal data by contacting us, subject to legal retention requirements.

4. User Conduct

You agree not to:

• Violate any applicable federal, provincial, or local laws or regulations.
• Post false, misleading, or fraudulent information, including project details or reviews.
• Harass, abuse, or harm other users, Contractors, or our staff.
• Interfere with the Site's operation, including introducing malware, viruses, or conducting denial-of-service attacks.
• Attempt to reverse engineer, copy, or scrape content from the Site without written permission.
• Use the Site for any commercial purpose other than intended renovation services.

5. Intellectual Property

5.1 Ownership

All content, design, logos, text, graphics, and software on the Site are owned by Renovation Pro Inc. or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written consent.

5.2 User Content

By posting or submitting content (e.g., project descriptions, photos, reviews) on the Site, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and store such content solely for site operation and promotion. You represent that your content does not infringe third-party rights.

6. Fees and Payments

6.1 Service Fees

Using the Site is free for Clients. Contractors pay a subscription fee or per-project commission as disclosed in their separate agreement. All fees are in Canadian dollars (CAD) and are non-refundable unless stated otherwise.

6.2 Payment Processing

We use third-party payment processors (e.g., Stripe, PayPal) to handle transactions. By making a payment, you agree to their terms and privacy policies. We are not liable for processor errors or delays. All payments for services between Clients and Contractors are handled directly between those parties; we do not hold funds.

7. Disclaimer of Warranties

The Site and all content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that: (a) the Site will be error-free, secure, or uninterrupted; (b) any information provided by Contractors is accurate or complete; or (c) any renovation project will meet your expectations. We disclaim all liability for the acts or omissions of Contractors or Clients.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Renovation Pro Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the greater of $100 CAD or the fees paid by you to us in the 12 months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or liability; these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Renovation Pro Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy or intellectual property; or (d) your content. We reserve the right to assume exclusive defense of any matter at your expense.

10. Third-Party Links and Services

The Site may contain links to third-party websites or services (e.g., payment processors, insurance providers). We are not responsible for their content, privacy practices, or terms. Access at your own risk. We recommend reviewing their policies before use.

11. Privacy and Data Protection (GDPR Compliance)

We are committed to protecting your privacy in accordance with applicable Canadian and European data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area (EEA) or where EU data is processed. If you are a resident of the EEA, the following additional terms apply:

11.1 Data Controller

11.2 Data We Collect

We collect and process personal data you provide (e.g., name, email, phone, address, project details), automatically collected data (e.g., IP address, cookies, usage patterns), and data from third-party services (e.g., payment verification). Lawful basis for processing includes your consent, contractual necessity, legal obligations, and legitimate interests.

11.3 Your Rights

Under GDPR, you have the right to:

• Rectification: Correct inaccurate data.
• Erasure: Request deletion of your data, subject to legal retention (e.g., tax records for 6 years).
• Restriction: Limit processing of your data.
• Portability: Receive your data in a structured, commonly used format.
• Object: Object to processing based on legitimate interests or direct marketing.
• Withdraw Consent: Withdraw consent at any time without affecting lawful processing before withdrawal.

11.4 Data Transfers

Your data is stored primarily in Canada. For users in the EEA, we ensure adequate safeguards for international transfers through standard contractual clauses (SCCs) or equivalent mechanisms. By using the Site, you consent to such transfers.

11.5 Data Retention

We retain personal data for as long as necessary to provide services, comply with legal obligations (e.g., tax laws, 6 years in Canada), resolve disputes, and enforce agreements. After this period, data is anonymized or securely deleted.

11.6 Security Measures

We implement appropriate technical and organizational measures, including SSL encryption, access controls, and regular audits, to protect your data from unauthorized access, loss, or alteration. However, no method of transmission over the Internet is 100% secure. We will notify you and relevant authorities of any data breach within 72 hours if required by GDPR.

11.7 Cookies

We use cookies and similar technologies for site functionality, analytics, and marketing. You can manage preferences via our Cookie Consent Tool or browser settings. Without essential cookies, some features may not work.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. For international users, this does not reduce consumer protections under applicable law.

12.2 Dispute Resolution

We encourage informal resolution first: contact support@renovationpro.live. If unresolved, any disputes arising from these Terms shall be referred to mediation before a mutually agreed mediator in Toronto, Ontario. If mediation fails, the dispute shall be resolved by the courts of Ontario, located in Toronto. For consumers in the EU or other jurisdictions, mandatory consumer protection laws may apply, and you may bring proceedings in your home country. We will not impose arbitration on consumers under $10,000 CAD unless mutually agreed.

13. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, strikes, cyberattacks, governmental actions, or internet outages. We will attempt to notify users of such events and resume performance as soon as reasonably possible.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements for specific services, constitute the entire agreement between you and Renovation Pro Inc. No waiver of any term shall be deemed a further or continuing waiver. If any provision is held invalid, the remainder shall continue in full force.

Your use of renovationpro.live signifies your understanding and acceptance of these Terms. Thank you for trusting Renovation Pro Inc.

These Terms are effective immediately. For users in Quebec, additional rights under the Consumer Protection Act (CQLR c P-40.1) may apply, including a 10-day withdrawal period for certain contracts. Please refer to your provincial consumer laws.
